Form LP10 - Annual return of an Overseas Limited Partnership [87 kB PDF]

The General Partners of an Overseas Limited Partnership must file an annual return every year with the Companies Office.  You do not need to supply any financial information when completing an annual return form.  The purpose is simply to ensure that the Overseas Limited Partnership details are up to date.

Use this form to notify the appointment of a new General Partner, the change of a General Partner's details (e.g. change of General Partner's address) or to give notice that a General Partner has ceased to hold office.

Use this form to give notice of a change of name of an Overseas Limited Partnership.  The change of name for an Overseas Limited Partnership must be notified within ten working days of the change.

You must have given public notice (under section 113(1)(a) of the Limited Partnerships Act 2008) of the Overseas Limited Partnership's intention to cease carrying on business in New Zealand at least three months before giving this notice to the Registrar.
