Register an Australian company as an overseas company
The purpose of this guide is to step you through the processes involved in registering an Australian company as an overseas company online.
This online service provides a simple, timely and cost effective method for company registration.
Step-by-step instructions
Step 1 - Select ‘Form a Company’ from the left hand menu bar on our home page to access the ‘Register an Australian Overseas Company’ service or alternatively select the first link in the name reservation confirmation email.
Step 2 - Enter the Australian company’s ACN (Australian Company Number) next to the appropriate name reservation.
Step 3 - Select ‘Continue’ to verify your company with the Australian Securities & Investments Commission (ASIC). The name reserved must be identical to the company registered at ASIC.
It will only take a few seconds for ASIC to confirm that your ACN is correct and that both company’s name are identical.
Step 4 - Complete your ‘Contact Details’ and select 'Continue'.
Step 5 - Complete ‘Date Business Commenced’, 'Financial Reporting Month' and 'Annual Return Filing Month' details.
Step 6 - Select ‘Address Details’ and enter the Principal Place of Business in New Zealand, Person Authorised to Accept Service, and the Address for Communication.
Step 7 - Select 'Payment'.
Step 8 - Select 'Register'.
Once all of these steps have been completed we will send you a Certificate of Registration and the company will then appear on the New Zealand Overseas Companies Register.
The Companies Office will send a message to ASIC requesting details of the directors and constitution (if any) details. Once the information is received these details will be entered on the register and made available to the public.

We collect your contact details here so that we can get in touch with you regarding your application for incorporation. If you log on we will complete these details for you, alternatively continue as a casual user and enter these details as you go.
Date business commenced
Any overseas company that is carrying on business in New Zealand must register within ten working days of commencing to carry on business (section 334(1) of the Companies Act 1993). Enter the date on which your company commenced carrying on business in New Zealand.
Financial reporting month
All overseas companies (including Australian overseas companies) are required to file financial statements with the Companies Office under section 19 of the Financial Reporting Act 1993.
Annual return filing month
An overseas company must file an annual return with the Companies Office each year. You can choose the filing month for your annual return when registering your overseas company.
Company address details
A minimum of three address types must be provided when registering an overseas company; Principal Place of Business in New Zealand, Person Authorised to Accept Service in New Zealand and an Address for Communication. The Principal Place of Business and the Address of the Person Authorised to Accept Service must be a physical address in New Zealand.
Payment
Payment is the last step in the registration process. You can either pay by direct debit (if you are a registered user) or by credit card.
After registration
After registration the directors have a responsibility to update any details relating to the Principal Place of Business, Persons Authorised to Accept Service, Address for Communication, changes to the company’s name and also file annual returns and financial statements under the Financial Reporting Act 1993.
