Change of partner details

A range of information is held for each Limited Partnership.  Included are details of each General and Limited Partner.  As these details change, the changes must also be recorded on the Register.

Changes should be updated within ten working days of the change.

New partners should be notified to the Registrar as soon as possible as there can be consequences for the Limited Partnership. For example, if a Limited Partnership does not have a General Partner for ten working days, this is a terminating event under the Act and the Limited Partnership may be placed into liquidation.

Limited Partners details will not be made publicly available on the Limited Partnerships Register.

A Limited Partnership may apply to the Registrar to change details relating to its partners by completing a prescribed form (Form 2G Change of General Partner details or Form 2L Change of Limited Partner details) and sending the form to:

Companies Office
Northern Business Centre
Private Bag 92061
Victoria Street West
Auckland 1142

The form requires the following information to be given:

  • The name of the Limited Partnership and registration number
  • The details of the change
  • The date of change
  • Full name, postal address, email address, telephone number and facsimile of the presenter.

The form must be signed by or on behalf of the Limited Partnership.

If the change relates to an appointment of a new General Partner the form must also be accompanied by:

  • A prescribed form of consent signed by the newly appointed General Partner or that person’s agent authorised to do so in writing, consenting to be a General Partner (Form 5 Consent form for General Partner).

Other Registers Search

The Companies Office website contains information on a range of other entities.

An Other Registers Search locates other registered entities using either the name or number.  This search will locate the organisations that are currently registered as well as those that have been removed from the register.

There are two options available to you for conducting an search of the other Registers - Other Registers Search and Previous Name Search.  Searching is easy and all information is FREE.

  • An Other Registers Search allows you to locate a registered organisation using the name, registered number or keywords.  This search will locate the organisations that are currently registered as well as those that have been removed from the register (struck off).
  • A Previous Name Search allows you to locate a registered organisation using a previous name (if the name was changed after 1 July 2006).
