Filing your annual return

 

The General Partners of a Limited Partnership must file an annual return every year with the Companies Office. 

The annual return must be filed by completing a prescribed form (Form 3 Annual Return form) and sending it to:

Northern Business Centre
Private Bag 92061

Auckland 1142
 

The form requires the following information to be given:

  • The name of the Limited Partnership and registration number
  • Date of annual return e.g. date as at a day within the annual return month
  • Details of its registered office, address for service and postal address
  • Details of the General Partners including those who have ceased to act since the last annual return
  • Details of the Limited Partners including those who have ceased to act since the last annual return
  • Full name, postal address, email address, telephone number and facsimile of the presenter

 

The Annual Return must be signed by a general partner or by a lawyer or chartered accountant authorised for that purpose.

Each annual return must also be accompanied by the following forms if there are any changes to the partners or name of the Limited Partnership:

Note | A Limited Partnership does not file an annual return in the calendar year of its registration.

When do I file my annual return?

The Registrar will allocate an annual return filing month at the time the Limited Partnership is registered and will confirm when the annual return is due to be filed.

The Limited Partnership must file an annual return within the annual return filing month.

You are able to change your annual return filing month by written request to the Registrar and sending it to:

How much does it cost to file an annual return?

There is no fee payable.
 

 

What happens if the Limited Partnership does not file an annual return every year?

A Limited Partnership must file an annual return with the Companies Office each year.

If an annual return is not filed by the due date, the Limited Partnership is at risk of the Registrar making an application to the Court to place it in liquidation or the Registrar may place a note on the Register that it is inactive.

Other Registers Search

The Companies Office website contains information on a range of other entities.

An Other Registers Search locates other registered entities using either the name or number.  This search will locate the organisations that are currently registered as well as those that have been removed from the register.

There are two options available to you for conducting an search of the other Registers - Other Registers Search and Previous Name Search.  Searching is easy and all information is FREE.

  • An Other Registers Search allows you to locate a registered organisation using the name, registered number or keywords.  This search will locate the organisations that are currently registered as well as those that have been removed from the register (struck off). 
  • A Previous Name Search allows you to locate a registered organisation using a previous name (if the name was changed after 1 July 2006).
